NDA drafting in India — protect what you share before you share it

A non-disclosure agreement (NDA) is a contract that legally binds the people you share sensitive information with to keep it confidential and use it only for the purpose you agreed. Adv. Bhawna Yadav and her team draft your NDA — mutual or one-way — at a flat ₹1,500, ready to sign within 1-2 days, tailored to your relationship rather than pulled from a template. Whether you are pitching an investor, hiring a developer, briefing a vendor or exploring a partnership, we make sure your idea, your data and your trade secrets are protected before you say a word.

The fee is fixed and agreed in writing before any work starts. There is no hourly billing, nothing added quietly later, and no upselling. Unlike firms that pad the bill, we quote one fee and tell you honestly what your matter actually needs. We respect your time and our own effort.

What a non-disclosure agreement actually is

An NDA is a written promise, enforceable as a contract, that governs how confidential information passes between two or more parties. It answers four simple questions clearly: what information is protected, who is bound to protect it, what they are allowed to do with it, and for how long. Once signed, the person receiving your information can no longer treat it as their own — they must keep it secret, use it only for the agreed purpose, and face real consequences if they do not.

There are two common forms. A one-way (unilateral) NDA is used when only one side is disclosing secrets — you tell a freelancer about your product, or an investor about your financials, and only your information needs protecting. A mutual (bilateral) NDA is used when both sides will reveal confidential information, which is typical when two companies explore a partnership, a joint venture, or an acquisition and each has something to guard.

The strength of an NDA lies almost entirely in how it is drafted. A vague agreement that fails to define the confidential information, or that tries to restrain the other party too broadly, can be difficult to enforce when it matters most. A precise one — with clear definitions, a sensible duration and a properly worded remedies clause — gives you something you can actually rely on. That precision is exactly what you are paying us for.

What our flat ₹1,500 covers

The flat professional fee is deliberately simple, so you know precisely what you are getting:

  • A confidential consultation in which we understand what you need to protect, who you are sharing it with, and the nature of your relationship with them.
  • Working out the right structure — mutual or one-way — and the key terms: the confidential information, the permitted purpose, the parties, and how long the obligation should last.
  • Drafting the NDA — a tailored, ready-to-sign agreement built on the essentials of a valid contract, with clear definitions, obligations, remedies, and a governing-law and jurisdiction clause.
  • Two rounds of revisions, so the agreement reflects your relationship and your comfort exactly.
  • A plain-English explanation of every clause, and guidance on signing it correctly, in person or electronically.

That is the whole of it, for one flat ₹1,500. If your situation turns out to need something larger — a full services contract, an employment agreement, or a shareholders' agreement — we tell you honestly, scope it separately, and quote it in advance in writing. Nothing is bundled in and nothing is assumed.

Who needs an NDA

Any time valuable information leaves your hands, an NDA is the instrument that keeps it yours. These are the situations that most often bring people to us.

Startups, founders and fundraising

Your idea, your product roadmap, your code, your pricing and your growth numbers are your most valuable assets before you have revenue. When you pitch an investor, bring on a co-founder, or share a demo with a prospective client, an NDA protects that information from being copied or leaked. We draft NDAs that reassure the other side without frightening them off — the balance that lets an early-stage conversation actually happen.

Hiring employees and freelancers

People you hire will see your customer lists, your processes, your source code and your commercial plans. A well-drafted confidentiality clause — as a standalone NDA or built into the engagement — keeps that information safe both during and after their time with you. We word these carefully so they protect your legitimate business interests while staying within what Indian law will enforce, rather than overreaching and becoming unenforceable.

Vendors, agencies and contractors

When you brief a marketing agency, a manufacturer, a software vendor or a consultant, you often have to reveal how your business works to get the job done. A one-way or mutual NDA — depending on who shares what — makes sure that knowledge is used only for your project and not carried to a competitor. This is essential wherever samples, designs, specifications or data change hands.

Partnerships, deals and negotiations

Exploring a joint venture, a distribution arrangement, a merger or an acquisition means opening your books to the other side, and them to you. A mutual NDA drawn up at the very start protects both parties as due diligence begins, so a deal that later falls through does not leave your secrets in a rival's hands.

What a strong NDA protects

A carefully drafted non-disclosure agreement does far more than say "keep this secret." The clauses we build into yours are what make it work when there is a dispute:

  • A precise definition of confidential information — spelling out what is protected, whether written, spoken, visual or electronic, so there is no argument later about what was covered.
  • A clear permitted purpose — the receiving party may use your information only for the reason you agreed, and for nothing else.
  • Exclusions — the ordinary carve-outs for information that is already public or that the other side already had lawfully, so the agreement stays fair and enforceable.
  • Duration — how long confidentiality must be maintained, set at a length that is reasonable for your kind of information.
  • Return or destruction of your material once the relationship ends, so nothing lingers on a laptop or a server.
  • A remedies clause — the right to seek an injunction to stop misuse and to claim damages for a breach, which is what gives the agreement real teeth.
  • Governing law and jurisdiction — naming Indian law and the courts that will hear any dispute, so you are never guessing where you stand.

What you get with Adv. Bhawna Yadav and her team

You are not handed to a call centre, a form-filler or a rotating desk. You get a named advocate — Adv. Bhawna Yadav, enrolled with the Bar Council of Madhya Pradesh, with her chamber at Arera Hills, Bhopal — and her team, working on your document directly. That means:

  • An honest assessment of what you actually need: whether a one-way NDA is enough or a mutual one is wiser, and how strong your protection can realistically be — told to you straight.
  • An agreement drafted for your situation, built on the facts of your relationship and the specific information you are protecting, not a template with your name dropped in.
  • Careful, enforceable wording, so your NDA holds up if it is ever tested, rather than falling apart on a technicality.
  • Clear communication at every step, in English or Hindi, so you always understand what the agreement says and why each clause is there.

How working with us goes

The process is quick and calm, because you usually need an NDA before a meeting, a hire, or a deal moves forward. It begins with a confidential consultation, over a call or video, in which we understand what you are protecting, who will receive it, and what you are trying to achieve. We tell you frankly whether a mutual or one-way NDA fits, and what a sensible duration and scope look like for your information.

We then draft the agreement and send it to you to read. We explain each clause in plain language, take your input, and refine it through two rounds of revisions until it says exactly what your relationship requires. If the other side has comments — as investors and larger companies often do — we help you understand which ones are fair and which to push back on.

What you receive is a finished, ready-to-sign non-disclosure agreement and a clear explanation of how to execute it, including electronic signing when the parties are in different cities or countries. You deal with an advocate throughout, and the outcome is protection you can rely on before your confidential information ever leaves the room.

Available across India, and for NRIs and clients abroad

You do not need to be in Bhopal, or even in India, to instruct us. Contract law applies uniformly across the country, so an NDA drafted for you is effective wherever your parties are located. We act for clients in every Indian state, and for NRIs and companies based overseas who are doing business with people or teams in India.

The consultation happens over a call or video, your details are exchanged securely and digitally, and the finished NDA is sent to you ready to sign — electronically where the parties are far apart, which Indian law fully recognises. Wherever you are, the work is handled with the same care and at the same flat ₹1,500. If you are a founder abroad about to share your idea with a developer or investor in India, a quick consultation is the fastest way to get protected first.

Why choose us

A document meant to protect your most valuable information is not the place for uncertainty about who is doing the work or what it will cost. With us you get a named advocate and her team, one flat fee of ₹1,500 agreed in writing before we start, and a firm promise of no upselling — we quote one fee and tell you honestly what your matter actually needs, rather than manufacturing extra documents to grow the bill. You are looked after in English or Hindi, kept fully informed, and given an agreement built for your situation. If your matter later needs a broader contract, we can advise on that separately and transparently — for instance an employment contract review — always with the position and the cost explained first.

The legal basis

A non-disclosure agreement is a contract, and its force comes from the Indian Contract Act, 1872. To be valid and enforceable, it must have the essentials the Act requires — parties competent to contract, lawful consideration, free consent, and a lawful object. When these are present and the terms are clearly drafted, the confidentiality obligations bind the parties just as any commercial contract would.

Two further points shape how we draft yours. First, Section 27 of the Contract Act makes agreements in restraint of trade void, which is why a confidentiality clause must protect a genuine business interest without unreasonably restraining the other person's livelihood — an overbroad NDA can be struck down, so we keep yours firmly within what the law upholds. Second, if the agreement is broken, your remedies rest on the wider framework of Indian law: damages for breach of contract under the same Act, and an injunction to restrain the misuse or threatened disclosure of your information under the Specific Relief Act, 1963. Because Indian law also recognises electronic records and signatures, an NDA can be validly signed online when the parties are apart. In the consultation we explain, in plain language, exactly how these protections apply to your matter, so you sign with a realistic understanding of what your agreement can do — and what to do next if it is ever tested.

Frequently asked questions

What does the flat ₹1,500 cover, and is anything added later?

The flat ₹1,500 covers the full consultation, working out whether you need a mutual or one-way NDA, drafting a tailored agreement, two rounds of revisions, a plain-English explanation of every clause, and guidance on signing it correctly. It is our one professional fee, agreed in writing before we begin. There is no hourly billing and nothing is added quietly afterwards. If you later need a broader contract or court representation, we tell you honestly, scope it separately, and quote it in advance.

Should I use a mutual or a one-way NDA?

A one-way NDA protects information that flows in one direction — for example, when you disclose your idea to a developer or a potential investor and only you are sharing secrets. A mutual NDA protects both sides when each party will reveal confidential information, which is common between two businesses exploring a partnership. In the consultation we listen to who is sharing what, and recommend the version that actually fits — we do not default to the longer document just to look thorough.

Do you draft NDAs for startups and fundraising?

Yes, this is one of the most common reasons founders come to us. We draft NDAs for pitching to investors, onboarding co-founders and early employees, engaging freelancers and agencies, and sharing product or technical details with prospective partners. The agreement is written to protect your idea, your code, your data and your client relationships while still being reasonable enough that the other side will sign it.

Is an NDA legally binding and enforceable in India?

Yes. A properly drafted NDA is a contract under the Indian Contract Act, 1872, and is enforceable when it has the essentials of a valid agreement — competent parties, lawful consideration, free consent, and a lawful object. If the other side breaches it, you can seek damages and, in many cases, an injunction to stop the misuse of your information. Careful drafting matters because a confidentiality clause that is written too broadly can run into Section 27 of the Contract Act, and we draft yours to stay firmly enforceable.

Can you draft an NDA if I am outside Bhopal, or an NRI or a company based abroad?

Yes. We act for clients in every Indian state, and for NRIs and companies based overseas. The consultation happens over a call or video, information is shared securely and digitally, and the finished NDA is sent to you ready to sign — electronically where the parties are far apart. Distance does not change the flat ₹1,500 fee.

Can the NDA and the explanation be in Hindi?

Yes. We work with you in English or Hindi, whichever you are comfortable in. The agreement itself is prepared in English, which is standard for commercial NDAs across India, and we walk you through every clause in the language you prefer so you understand exactly what you are agreeing to before you sign.

How long does NDA drafting take?

In most matters the first draft is ready within 1-2 days of the consultation and receiving your details. If your situation is urgent — an investor meeting tomorrow or a freelancer starting on Monday — tell us, and we will do our best to work to your timeline.

What information do you need from me to draft the NDA?

Very little to begin. We need to know who the parties are, what confidential information you want to protect, the purpose for which it is being shared, and how long the protection should last. If you already have names, entity details or a specific deadline, share them; if not, we help you decide during the consultation.
