Private limited company registration in India

Private limited company registration is the process of incorporating your business as a private limited company under the Companies Act, 2013 — giving it a separate legal identity, limited liability for its owners, and the share structure that investors expect. Adv. Bhawna Yadav and her team handle the whole incorporation at a flat professional fee of ₹8,000: the name approval, the directors' digital signatures and identification numbers, the Memorandum and Articles of Association, and your Certificate of Incorporation with the company's PAN and TAN. The fee is fixed and agreed in writing before we begin — no hourly billing, nothing added later, and no upselling.

Most companies are incorporated within seven to fourteen working days once we have your documents and your name is cleared. What you receive at the end is a company that legally exists, can open a bank account, sign contracts, raise money and trade in its own name.

What a private limited company is

A private limited company is a business incorporated as a separate legal person, distinct from the people who own and run it. That separateness is the whole point. The company owns its assets, owes its debts, employs its people and signs its contracts in its own name. Its owners hold shares, and their responsibility for the company's liabilities is limited to the value of those shares.

Ownership and control, cleanly divided

Ownership sits with the shareholders, who hold the company's shares. Day-to-day control sits with the directors, who run it. The same people can be both, which is exactly how most founder-run companies begin, but keeping the two roles distinct is what lets you later bring in an investor as a shareholder without handing over the running of the business, or appoint a director without giving away equity. It is a structure built to grow.

Limited liability, in plain terms

If the business borrows money, takes on suppliers, or is sued, it is the company that carries those obligations — not you personally. Your exposure is capped at what you agreed to invest in your shares. Your home, your savings and your personal property stay outside the reach of the company's creditors. For anyone building a business with real commitments, that protection is not a technicality; it is the reason the company form exists.

Our flat fee — ₹8,000, and what it covers

We charge one flat professional fee of ₹8,000 for the complete incorporation. That covers the consultation on structure and shareholding, your company name approval, digital signatures and director identification numbers for the directors, the Memorandum and Articles of Association drafted around your business, and the Certificate of Incorporation delivered with the company's PAN and TAN.

We quote that one fee, agree it with you in writing, and honour it. Unlike firms that pad the bill as they go, we do not upsell, and we do not dress up a simple incorporation as something more complicated than it is. If your company is straightforward, we tell you so. If it genuinely needs something extra — a tax registration, foreign-director paperwork, a shareholders' agreement — we tell you plainly what it needs and what it would cost, and you decide. We respect your time and our own effort enough not to invent work.

Why register a private limited company

Your personal assets are protected

This is the reason most founders incorporate. A proprietorship or ordinary partnership offers no separation between you and the business, so its debts are your debts. A private limited company draws a clean line: the company is liable, and you are not, beyond your shareholding. When you are signing leases, hiring, or taking on customer commitments, that line matters.

Funding-ready by design

A private limited company is the structure investors understand and prefer. It can issue equity shares, accommodate a cap table, grant ESOPs to employees, and take on a board — none of which a partnership or LLP is built for. If there is any chance you will raise angel or venture money, offer stock to your team, or eventually sell the business, this is the vehicle that supports all three without a painful restructuring later.

Credibility, continuity and clean ownership

A registered company has perpetual succession — it continues regardless of who owns or runs it, so the death or exit of a founder does not end the business. It carries a name and a Corporate Identity Number that signal permanence to banks, vendors and large customers, many of whom will only contract with an incorporated entity. And because ownership is held in shares, bringing a partner in or buying one out is a clean transfer, not a renegotiation of the whole business.

Who private limited company registration is for

Founders planning to raise money

If your plan involves outside investment, incorporate as a private limited company from the start. Investors put money into equity, and equity needs a company. Getting the structure right early saves you from converting under time pressure when a term sheet is on the table.

Two or more people going into business together

When co-founders build something jointly, a company gives each of you a defined shareholding, clear roles as directors, and a framework for what happens if someone leaves. It turns a handshake into an ownership structure that will hold up as the business — and the stakes — grow.

A growing business that has outgrown a proprietorship

Many owners start as a proprietor and reach a point where the lack of separation becomes a liability: they cannot protect personal assets, cannot easily bring in a partner, and cannot present the business to a large customer or a bank as a serious entity. Incorporating is how you cross that threshold.

Private limited, OPC or LLP — choosing the right structure

Before you register anything, the structure is the decision worth getting right, and we spend real time on it in your consultation.

Choose a private limited company if you intend to raise equity, issue ESOPs, or build toward a sale — it is the only common structure that supports all three. Choose a One Person Company (OPC) if you are a single founder who wants a company's limited liability and separate identity without a second shareholder; it converts to a private limited company later if you grow into it. Choose an [LLP](/services/llp-registration) if you are running a service business or professional firm that wants limited liability with much lighter annual compliance and no plan to take on equity investors.

We do not push the option that bills the most. We look at your funding plans, your co-founders and your appetite for compliance, and recommend the structure that actually fits — and we will tell you if an OPC or an LLP serves you better than a private limited company.

What you get with Adv. Bhawna Yadav and her team

  • A consultation to choose the right structure, confirm your name and plan how shares are held among the founders.
  • Your company name approved and reserved, with alternatives included so a name clash does not stall you.
  • Digital Signature Certificates and Director Identification Numbers arranged for the directors.
  • The Memorandum of Association and Articles of Association drafted around your company's actual business and objects — not lifted from a generic template.
  • Incorporation completed and your Certificate of Incorporation delivered, along with the company's PAN and TAN and its Corporate Identity Number.
  • A plain-language explanation of what you now hold, and what to do next to open the bank account and start trading.

How working with us goes

We start with a short conversation to understand the business you are building, who the founders are, and what you want the company to be able to do. From there we confirm the structure, settle the name, and tell you exactly which documents we need from you — kept to what is genuinely required, in one clear list.

Once we have them, we take care of the rest. You do not chase forms or decode requirements. We draft the Memorandum and Articles around your business, arrange the directors' signatures and numbers, and carry the incorporation through to completion. When your Certificate of Incorporation is issued, we deliver it with the company's PAN, TAN and Corporate Identity Number, and we walk you through what each document is for. You end up with a company that is ready to bank and ready to trade, and a clear understanding of what you hold.

Available across India, and for NRIs and founders abroad

Company incorporation in India is a single, central process, so it makes no difference where you or your co-founders live. We register private limited companies for founders in every state and union territory, and you never need to visit a particular city to do it.

We also work regularly with NRIs and founders based abroad who want an Indian company. A foreign national or non-resident can be a director and a shareholder, provided the company has at least one director resident in India, and there are additional documentation and foreign-investment requirements that apply in those cases. We handle that route end to end, and we will tell you at the outset exactly what your situation needs so there are no surprises later.

Why founders choose us for company registration

You work with a named advocate and her team from the first call to your Certificate of Incorporation — not a call centre and not a faceless queue. The fee is one flat ₹8,000, agreed in writing before we start, with no hourly billing and nothing added on. There is no upselling: we tell you honestly what your company actually needs and no more. Your Memorandum and Articles are genuinely drafted for your business rather than copied from a form, and everything — the consultation, the drafting and every explanation — is available in English or Hindi.

If you are still deciding whether to incorporate at all, or which structure fits, start with a consultation and we will give you a straight answer before you spend anything on registration.

The legal basis

Private limited company registration in India is governed by the Companies Act, 2013. A company comes into existence on incorporation under Section 7, once its Certificate of Incorporation is issued. Its foundational documents are the Memorandum of Association under Section 4, which sets out the company's name, registered office, objects and capital, and the Articles of Association under Section 5, which govern how the company is run internally. The requirement that at least one director be resident in India comes from Section 149(3), and the registered-office requirement from Section 12. A One Person Company is defined in Section 2(62) for founders who want the company form on their own.

Getting these documents right at the start is what makes the company hold up as it grows, raises money and takes on commitments — and drafting them properly, for your business, is exactly what the flat fee covers.

Frequently asked questions

What does the flat ₹8,000 for private limited company registration cover?

It is our single flat professional fee for the complete incorporation — the consultation on structure and shareholding, your name approval, digital signatures and director numbers for the directors, the MOA and AOA drafted for your business, and the Certificate of Incorporation with the company's PAN and TAN. It is agreed with you in writing before we begin, with no hourly billing and nothing added afterwards.

How long does it take to register a private limited company?

For most companies we complete incorporation within seven to fourteen working days once we have your documents and your name is cleared. The name-approval stage is the part that can vary, because a name too close to an existing company or trademark is refused. We include alternative names from the start so a clash does not send you back to the beginning.

How many directors and shareholders do I need?

A private limited company needs at least two directors and at least two shareholders, and the same people can be both. At least one director must be resident in India — someone who has stayed in India for 182 days or more in the previous financial year. A company can have up to two hundred shareholders. If you are a single founder, we will tell you honestly whether a One Person Company suits you better.

Private limited company, OPC or LLP — which should I choose?

A private limited company is the right vehicle when you plan to raise investment, issue ESOPs to your team, or build something you may eventually sell, because it supports equity shares, a cap table and a board. A One Person Company suits a solo founder who wants a company structure without a second shareholder. An [LLP](/services/llp-registration) suits service businesses that want limited liability with lighter compliance and no plan to raise equity. We walk you through the trade-off before you commit.

Can you register a company for founders anywhere in India, or living abroad?

Yes. Company incorporation in India is a central, online process, so we register companies for founders in every state and union territory, and it makes no difference where you or your co-founders are based. We work regularly with NRIs and founders abroad who want an Indian company, and handle the additional requirements that apply when a director or shareholder is a foreign national or non-resident.

Can the whole process be done in English or Hindi?

Yes. We work with you in English or Hindi, whichever you are comfortable with, across the consultation, the drafting and every explanation along the way. Your incorporation documents are prepared in English, as company records are, but nothing is left for you to puzzle out in a language you would rather not work in.

Do I need a physical office to register the company?

You need a valid address in India that the company uses as its registered office, but it does not have to be a rented commercial space. A residential address you own or occupy can serve as the registered office, provided you can produce proof of the address and the owner's consent. We tell you exactly what will satisfy the requirement for your situation.

What is limited liability, and how does it actually protect me?

Limited liability means the company is a separate legal person that owns its own assets and owes its own debts. If the business cannot pay what it owes, your liability is limited to the money you agreed to put into your shares — your home, savings and personal property are not on the line for the company's debts. That separation is the central reason founders choose a company over a proprietorship or an ordinary partnership.
