Sale deed drafting done right, at a flat fee

A sale deed is the single document that transfers ownership of a property from one person to another, and it is the one place where a small drafting gap can cost a buyer the whole purchase later. Adv. Bhawna Yadav and her team draft a complete, watertight sale deed at a flat ₹3,500, with proper title recitals, a precise property schedule, a clear consideration clause and the seller warranties that actually protect you after the transaction closes. We deliver a ready-to-execute deed in two to three days, in English or Hindi.

The fee is fixed and agreed in writing before we begin. There is no hourly billing, nothing added later, and no upselling.

What a sale deed actually does

When you buy immovable property, you are not really buying bricks and land — you are buying the seller's *title* to it. The sale deed is the instrument that carries that title across to you. If it is drafted well, it records exactly what you bought, from whom, for how much, free of what, and with what promises standing behind the sale. If it is drafted carelessly, it can leave you owning a dispute instead of a property.

This is why a sale deed is not a form to be filled in. Every serious clause in it is doing a job: proving the seller had the right to sell, pinning down the precise property being sold, recording the price and how it was paid, and creating enforceable promises you can rely on if something surfaces years later. A good deed is quiet insurance — you never think about it until the day you are very glad it was written properly.

What a watertight deed protects against

Most property disputes are not exotic. They come from a handful of predictable gaps, and each one is preventable at the drafting stage.

A broken chain of title. If the deed does not properly recite how the seller came to own the property, a later challenge to their ownership can pull you into it. Clean recitals establish, on the face of the deed, that the seller had good title to give.

A vague description of the property. A schedule that is imprecise about boundaries, area, or which unit and share are being sold is an open invitation to a boundary or extent dispute. We describe the property with the specificity that leaves no room for argument.

An unclear record of the price and payment. The consideration clause should state the full price and how and when it was paid. A weak clause here is where later claims of unpaid balances or "understandings" take root.

Hidden encumbrances. A buyer needs an express warranty that the property is being sold free of mortgages, charges, liens and prior agreements — and an indemnity if that turns out to be untrue. Without it, you can inherit someone else's debt or dispute.

A gap over possession. When possession passes, and in what condition, should be stated, not assumed. We make it explicit so there is no argument about handover.

The clauses that carry the weight

A sale deed reads as a single flowing document, but it is really a set of carefully drafted protections stacked together. These are the ones we take particular care over.

Parties and title recitals

We identify the seller and buyer precisely and then recite the chain of title — how the seller acquired the property, through which prior deed, inheritance or allotment. These recitals are the backbone of the deed, because they demonstrate the seller's right to sell before a single rupee changes hands on paper.

The property schedule

The schedule describes exactly what is being sold: the identity of the unit or plot, its measurements, boundaries, and any share in common areas or amenities. A precise schedule is what makes the deed enforceable against the real world, rather than against a rough idea of a property.

Consideration and mode of payment

We record the agreed price in full and the manner in which it has been or will be paid. Documenting the consideration properly protects both sides — the seller against a claim of non-payment, and the buyer against a later demand for more.

Warranties, covenants and indemnity

This is where a deed earns its fee. We build in the seller's warranties that the title is clear and marketable, that the property is free of encumbrances, and that the seller has the authority to sell — backed by an indemnity so that if any of it proves false, you have a contractual remedy rather than only a lawsuit to start from scratch.

Possession, delivery and further assurance

We set out when and how possession passes, and include a further-assurance clause obliging the seller to sign whatever additional papers are reasonably needed to perfect your title. It is the clause people forget until they need it.

Agreement to sell, or the sale deed itself

Not every transaction is at the same stage. An agreement to sell (sometimes just called a sale agreement) records that the parties have committed to a sale on agreed terms, to be completed later once payment, approvals or financing are in place. The sale deed is the instrument that actually completes the transfer. Many transactions need both — an agreement to sell to lock the deal down while things are pending, then a sale deed to close it.

We draft either, or both, depending on where you are. If you are still negotiating and want the deal secured before you commit the full price, we draft a strong agreement to sell. If you are ready to complete, we draft the sale deed. And if you are not sure which you need, that is exactly the kind of thing we sort out with you before any drafting begins.

Who this is for

A well-drafted sale deed matters in almost every property transaction, but a few situations make it essential.

Buyers of a resale flat or house. You are stepping into someone else's chain of ownership, and the deed is what protects you from the defects in it. The recitals and warranties are your safety net.

Buyers of a plot or land. Land carries its own risks around extent, boundaries and prior rights, and a precise schedule plus clean recitals are what keep those risks out of your purchase.

Sellers who want a clean exit. A properly drafted deed protects a seller too — a clear consideration clause and a well-framed set of warranties mean the transaction is genuinely closed, not something that can be reopened later.

Family and settled transactions. Sales between relatives or long-standing arrangements are often the most loosely documented and the most bitterly disputed later. A proper deed keeps goodwill intact by leaving nothing to memory.

Commercial units. A shop, office or commercial property sale has its own considerations around permitted use and existing arrangements, and the deed should reflect them rather than borrowing residential language.

The cost of getting the deed wrong

It is worth being plain about what is at stake, because the sale deed is the one document people are most tempted to treat casually and most regret treating casually. A defect in the deed does not announce itself at signing. It surfaces years later — when you try to sell, when you apply for a loan against the property, or when a relative of the original owner turns up with a claim. By then the seller may be untraceable, the money long spent, and your only recourse a long fight over a document that could have been written to prevent the fight entirely.

A properly drafted deed does not merely record the transaction; it forecloses the arguments before they can start. Every recital, warranty and indemnity is there to answer a question a court might one day ask, in your favour, in advance. That is what you are paying a flat ₹3,500 for — not a page of formalities, but a document built to hold.

What you get with Adv. Bhawna Yadav and her team

  • Title recitals that establish the seller's chain of ownership on the face of the deed.
  • A precise property schedule and a clear consideration and payment record.

All at a flat ₹3,500, in English or Hindi.

How working with us goes

You tell us about the property, the parties, the agreed price and anything unusual about the deal — that is the whole of what we need to begin. We draft the deed around your transaction, not around a template, and we send it to you with a plain explanation of what each clause is protecting. You read it, ask us anything, and tell us what needs adjusting; we make one round of revisions and deliver the final, ready-to-execute deed.

What we hand you is the finished document and a clear understanding of it. You are never signing something you do not follow, and you are never left to guess what a clause means. If your deal later needs the deed registered or the seller's title independently verified, we tell you plainly and arrange it as a separate, clearly quoted step.

Available across India, and for NRIs

Property law has a common national spine — the Transfer of Property Act and the Registration Act apply across the country — but how ownership is recorded varies from state to state. We draft sale deeds for property in every Indian state and adapt the recitals and schedule to the land records and conventions of the place where the property sits. The fee stays a flat ₹3,500 wherever the property is.

We also work regularly with NRIs and clients abroad buying or selling property in India. A remote transaction has its own needs — chiefly how the deed is executed when a party cannot be present — and we build the right provisions in so the sale can complete cleanly from a distance. Everything is handled in English or Hindi, whichever you prefer.

Why clients choose us for a sale deed

You are dealing with a named advocate and her team, not an anonymous drafting mill. You get one flat fee of ₹3,500, agreed in writing, for a sale deed drafted properly from the recitals down. And you get our word on no upselling — unlike firms that pad the bill, we quote one fee and tell you honestly what your matter actually needs. If it needs more, we say so plainly and quote it separately; if it does not, we do not invent work to charge for. We respect your time and our own effort, and we draft the document you are relying on with the care it deserves.

If you are still deciding whether to buy, a property title search tells you whether the seller can give clean title before you commit. If you would rather talk it through first, book a consultation and we will point you to exactly what your transaction needs.

The legal basis

A sale of immovable property in India is governed by the Transfer of Property Act, 1882, which defines a sale and the rights and obligations it creates between seller and buyer. A sale deed for immovable property must be executed and registered to transfer ownership, under the Registration Act, 1908. Our drafting reflects both, read together with the land and revenue law of the state where the property is located, so that the deed you sign is one that stands up when it matters.

Frequently asked questions

What does the ₹3,500 for sale deed drafting cover?

It covers the complete drafting of your sale deed — the title recitals, the property schedule, the consideration and payment record, and the warranty, indemnity and possession clauses — plus one round of revisions after you review it. It is one flat fee, agreed in writing before we start, with no hourly billing and nothing added later.

What is the difference between a sale deed and an agreement to sell?

An agreement to sell records that a sale will happen on agreed terms at a future date; the sale deed is the instrument that actually transfers ownership. The agreement protects the deal while money and formalities are pending, and the sale deed completes it. We draft either or both, depending on where your transaction stands.

Do you draft the sale deed, or also handle its registration?

The flat ₹3,500 is for drafting a complete, ready-to-execute sale deed. Registration of the executed deed is a separate step we can arrange for you and quote separately, so you always know exactly what you are paying for and why.

Can you draft a sale deed for property in another state?

Yes. We draft sale deeds for property in every Indian state, adapting the recitals and schedule to how ownership and land records work where the property is located. The fee stays a flat ₹3,500 wherever the property is.

Can you help an NRI buying or selling property in India?

Yes. We regularly draft sale deeds for NRIs and clients abroad buying or selling property in India, and we can build in the clauses that a remote transaction needs, such as how the deed is executed through a properly authorised representative. Everything is handled in English or Hindi, whichever you prefer.

Will the deed be in English or Hindi?

Whichever you need. We draft in clear English or in Hindi, and we walk you through what each clause means so you are signing something you actually understand, not a document you are trusting on faith.

Why not just use a ready-made sale deed template?

A template does not know your transaction — it cannot recite this seller's chain of title, describe this exact property, or anticipate the specific risks in your deal. The clauses that protect a buyer are the ones a template leaves generic, and that gap is precisely where disputes begin. A properly drafted deed closes it.

Do you charge more if my transaction is complicated?

We quote one flat fee for the sale deed and tell you honestly what your matter needs. If a transaction genuinely calls for extra work — say, independent title verification before drafting — we explain why and quote it separately and clearly, rather than padding a single bill. We would rather you paid for exactly what you need.
